Terms and Conditions

Article 1 - Definitions

In these terms and conditions, the following definitions apply:

  1. Operator: Vranken Elektrotechniek B.V., a private limited company registered in the Netherlands under KVK number 86701959, operating under the trade name "WarpDL".
  2. Customer: The natural or legal person who uses the service or enters into an agreement.
  3. Service: The online service offered by the operator, accessible via warpdl.io.
  4. Agreement: The agreement between the operator and the customer for the use of the service.
  5. Subscription: A periodic paid access to the service.

Article 2 - Applicability

  1. These general terms and conditions apply to all offers, agreements, and deliveries of services by the operator.
  2. Deviations from these conditions are only valid if expressly agreed upon in writing.
  3. The applicability of the customer's own terms and conditions is explicitly excluded.

Article 3 - Service Provision

  1. The operator provides a SaaS platform for downloading content from Instagram, TikTok, YouTube, and Threads.
  2. The service is provided "as is" without guarantees of uninterrupted or error-free operation.
  3. The operator reserves the right to make changes to the service without prior notice.
  4. Maintenance may temporarily result in limited availability of the service.

Article 4 - Registration and Account

  1. Use of the API service requires registration.
  2. The customer is responsible for the confidentiality of their login credentials.
  3. The customer is responsible for all activities that take place under their account.
  4. The operator may refuse or terminate accounts without stating reasons.

Article 5 - Prices and Payment

  1. All prices are in US Dollars and exclusive of VAT, unless stated otherwise.
  2. Payment is made in advance via the available payment methods (Stripe).
  3. Subscriptions are automatically renewed unless canceled in time.
  4. The operator reserves the right to adjust prices, which will be communicated at least 30 days in advance.
  5. In case of late payment, the operator may suspend access to the service.

Article 6 - VAT and Tax

  1. VAT is automatically calculated based on the customer's location.
  2. EU business customers with a valid VAT number may be eligible for reverse charge.
  3. The customer is responsible for the accuracy of provided tax information.

Article 7 - Right of Withdrawal (Consumers)

  1. Consumers have a 14-day right of withdrawal from the moment of subscription.
  2. When immediate access to the service is granted with the customer's express consent, the right of withdrawal lapses.

Article 8 - Cancellation

  1. Subscriptions can be canceled at any time via the account settings or customer portal.
  2. After cancellation, access remains active until the end of the current billing period.
  3. No (partial) refund will be made for unused periods.

Article 9 - Delivery and Access

  1. Access to the service is granted immediately after successful payment.
  2. API keys are generated automatically and made available via the dashboard.
  3. The operator is not responsible for delivery problems caused by the customer's systems.

Article 10 - Liability

  1. The operator's liability is limited to the amount paid by the customer in the last 3 months.
  2. The operator is not liable for indirect damages, including consequential damage, lost profit, or lost data.
  3. The operator is not liable for misuse of the service by the customer.
  4. The customer indemnifies the operator against third-party claims arising from the use of the service.

Article 11 - Customer Support

  1. Support is available via email at support@warpdl.io.
  2. Response time depends on the subscription tier.
  3. Support is provided in English.

Article 12 - Applicable Law and Disputes

  1. Dutch law applies to these terms and conditions and all agreements.
  2. Disputes will be submitted to the competent court in the Netherlands.
